Job Title: Company Secretary (Lawyer)

Job Summary

  • The Company Secretary (Legal Counsel) is responsible for providing legal advisory services and ensuring the Company complies with all statutory, regulatory, and corporate governance requirements.
  • The role serves as the Secretary to the Board of Advisors, coordinating Board activities, maintaining corporate records, providing legal guidance to Management, and ensuring that the Company's operations and decisions are legally compliant and aligned with best governance practices.

Key Responsibilities

  • Maintain accurate statutory registers, Board records, resolutions, and other corporate documents.
  • Serve as Secretary to the Board of Advisors and provide administrative and governance support to the Board.
  • Ensure the confidentiality and security of sensitive legal and Board information.
  • Coordinate Board and Committee meetings, including preparing meeting notices, agendas, board packs, minutes, and resolutions.
  • Ensure timely filing of statutory returns and other corporate documents with relevant regulatory authorities.
  • Perform any other legal, corporate governance, and Company Secretarial duties as assigned by the Board or Management.
  • Ensure compliance with the Companies and Allied Matters Act (CAMA), regulatory requirements, and corporate governance standards.
  • Draft, review, negotiate, and manage contracts, agreements, memoranda, and other legal documents.
  • Maintain proper custody of the Company's legal documents, statutory records, and corporate seal.

Qualifications & Requirements

  • Experience serving as Board Secretary or supporting Board governance activities is an added advantage.
  • Strong knowledge of the Companies and Allied Matters Act (CAMA), corporate governance principles, commercial law, and regulatory compliance.
  • High level of integrity, discretion, confidentiality, and attention to detail.
  • Bachelor's Degree (LL.B.) in Law.
  • Proficiency in Microsoft Office Suite and document management systems.
  • Excellent legal drafting, minute-taking, communication, and organizational skills.
  • 2–3 years of post-call experience in corporate/commercial law, company secretarial practice, or a related field.
  • Membership of the Nigerian Bar Association (NBA).
